Congratulations to our client, Scipher Medicine, on entering into a merger agreement with Chemomab Therapeutics Ltd.
This transaction brings together Scipher’s precision medicine and AI capabilities with Chemomab’s clinical-stage therapeutic candidate, Nebokitug, to create a company focused on advancing precision medicine for patients with rheumatoid arthritis. The combined company will be valued at $150 million, prior to a concurrent $30 million private placement.
The transaction was led by Ido Zemach, together with Ephraim Friedman, Ronen Hausirer, Ligal Mechani and Kseniya Soychenko from our International and Hi-Tech Department; Yaron Sever and Lidor Almasy from our Tax Department; and Guy Gershon, Shani Rosenfeld levy and Or Goldshlag from our Labor and Corporate Immigration Department.
